Not a straightforward, nor easy task as there are about 4 different ways you can go about this. I would suggest you get a legal opinion from a reputable law firm - which will/should yield a report outlining the pros/cons. You should see these 4 basic forms of non-profits:
1) Company Limited by Guarantee
2) Charitable Trust
3) NGO
4) Society
Each of them falls under a different set of legislation, has different types of statutory obligations and different levels of administrative overhead. The report should give you sufficient detail on all of these for you to be able to make a judgement call on which is best suited to your mode of operations etc...
