Am doing a consulting assigment for an SME.(Individually owned)

Part of my recommendation was he gets a board and he moves away from managing the company.He employs a CEO.

Now am looking for the best performance based compensation structure for the CEO.

1.A good market rate salary.
2.Bonus based on targets delivered.
3.Share options etc

Any one with with Best Practice ideas?

The company does management consulting for government has 30 staff and turn over of 80 million..has been operational for 7 years.
