
Dear Barrack and all, Here are my comments (mainly on grammar and wording) regarding the draft By-laws document. Objects: 1. Section 3 clause 2: I think each clause should begin with a capital letter. 2. Also on Section 3 clause 2c should read: "To promote development of THE Internet in Kenya through, among others, trainings and public education; " INSTEAD of "To promote development of Internet in Kenya through, among others, trainings and public education;" 3. Section 3 clause 2e: Would it be more appropriate if the clause read: "To work together with other Kenyan and International bodies with similar objects." [omit the from the sentence]. Membership: Concerning membership fees you can deliberate on the amount. Hope it would not be excessive as some members are students, interns and job-seekers for whom the membership may be dear. Rights: You can insert the following right/prerogative (you can reword it): - To participate and engage in any activities or projects laid out by the Society's committees. Duties: The following obligation can be included: - To promote ISOC's vision of the Internet is for everyone Cessation of Membership In clause 7c: The wording 'any cause' is too far reaching and some causes may be frivolous. Please spell out some of the causes for which a member can be expelled from the Society. Reinstatement of Membership Clause 8(1): Indicate which Article a member may apply for reinstatement in writing to the Membership Committee. The clause is 'hanging' it reads: " A person whose membership had ceased as provided for in Article 9 may apply in writing to the Membership Committee provided for in Article for [sic]" Board of Trustees Under Clause 3 Capitalise the beginning of each clause. Clause 5: The Board shall elect a "Director". I don't see why Director should be quoted. Omit the quotes. Clause 6: This may seem trivial the spelling of 'Offense'- Should we use the British Spelling i.e. Offence Secretary Clause 13 (g): Duties of the Secretary. The Secretary shall: - Submit of any proposed amendment … Can it read: Submit any proposed amendment (Omit of from the clause). - Also noted under the duties of the Treasurer: "Carry out any other duties incidental to this office." - Would it be appropriate to enumerate some of these incidental duties? Membership Committee Clause 16 is also a 'hanging' clause as last part of the clause does not specify which particular Article reinstatement of members can take place. " The Committee shall advice on questions of quorum and membership as well as reinstatement of members as provided for in Article [sic] " Funds The fiscal date and year indicated is pretty vague it reads: July 1st June 30th of each year. Could be reworded " The fiscal year of the Society shall be from July 1st of the current year to June 30th of the following year". Dissolution Should the society be dissolved its assets shall be transferred to the global ISOC. This is a pretty hefty clause. Does the global ISOC require the the transference of assets when a chapter dissolves? If so, which assets would be targeted in the event of a dissolution?
